1. General, scope of contract and validity
These General Terms and Conditions (GTC) apply to all services and deliveries that VERVE Water Mobility GmbH provides as the contractor within the framework of the contractual relationship concluded with the client. These GTC apply in their respectively valid version to all present and future services and deliveries, even if no explicit reference is made to them in individual cases.
2. Offer and acceptance
Offers made by the contractor are generally non-binding. The contract is concluded by written acceptance of the client's order by the contractor. Changes and additions to the order require the contractor's written confirmation.
3. Services and delivery
The contractor reserves the right to provide services and deliveries, or parts thereof, through commissioned third parties. Delivery periods may be adjusted appropriately in the event of changes to the order.
4. Prices and payment terms
The prices stated in the offer or order confirmation apply plus the statutory value added tax. Payment is made within the agreed periods without deduction, unless otherwise agreed in writing.
5. Warranty
The contractor warrants the contractual performance of the services. Defects are remedied in accordance with the statutory provisions or the agreements made.
6. Liability
The liability of the contractor is governed by the statutory provisions, insofar as nothing to the contrary is regulated in these GTC. For slight negligence, the contractor is only liable in the event of a breach of essential contractual obligations and only to the amount of the typically foreseeable damage.
7. Confidentiality
The contractual partners undertake to treat all confidential information that becomes known within the scope of the business relationship as confidential and to use it only for the purposes of this contract.
8. Final provisions
Place of fulfilment and jurisdiction is, insofar as legally permissible, Teningen or Freiburg. German law applies. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
